How the registration works
- 1
Request and consultation (day 0)
You send us the company details via the form or by email. We confirm the legal form, capital and tax regime. You receive a written quote with the final amount.
- 2
Documents (day 0)
We prepare the signing package. With a QES you sign electronically; without one — before a notary under a power of attorney.
- 3
Capital account and filing (day 1)
You deposit the capital into the capital account. We file application A4 and all annexes with the Commercial Register.
- 4
Entry and UIC (day 1–2)
The Register usually rules within one business day. You receive the UIC and certificate; on request we take over the bookkeeping immediately.

Company registration in Sofia, Plovdiv, Varna and across Bulgaria
The Commercial Register is a single nationwide register that accepts applications electronically — so it makes no difference which city the company's registered address is in. We register companies with a registered address in Sofia, Plovdiv, Varna, Burgas, Ruse, Stara Zagora, Pleven or anywhere else in Bulgaria at the same price and within the same timeline. The only local step is the notarisation of the signature, if you don't hold a QES — at a notary in your city.
EOOD or OOD?
An EOOD is a company with a single owner; an OOD has two or more shareholders. The procedure, timeline and price are the same. The differences lie in how shares are split, how decisions are taken and how shares are transferred. Full comparison with a sole trader and joint-stock company: EOOD, OOD, sole trader or JSC →
Frequently asked questions
How long does company registration take?
+−
With electronic filing, the Commercial Register usually rules within 1–2 business days. The timeline depends on the Registry Agency's workload and is not affected by the firm handling the filing.
Do I need a qualified electronic signature?
+−
It's not mandatory. Without a QES you sign the documents before a notary and authorise us to file the application on your behalf. The timeline is the same.
What is the minimum share capital?
+−
The minimum share capital for an EOOD or OOD is €1. In practice we recommend a higher capital if the company will apply for a loan or work with public sector clients.
Can I register a company if I live abroad?
+−
Yes. Documents can be certified at a Bulgarian consulate or by a local notary with an apostille, so you never need to travel to Bulgaria.
When do I need to register for VAT?
+−
Mandatory once taxable turnover exceeds €51,130 for the calendar year, within 7 days of exceeding the threshold. Voluntary registration is possible from incorporation.
