Terms of Service

The terms under which Bulsmetka provides company registration and accounting services through bulsmetka.bg.

Parties and subject

Provider: Bulsmetka (company registration in progress). Client: any natural or legal person who has accepted a quote. Subject: the services listed under "Pricing" — company registration, filing of changes, accounting services, consultations.

Entering into a contract and pricing

The contract is formed by written acceptance of a quote (an email is sufficient). Prices are quoted in euro, excluding VAT, and are fixed for 12 months. State fees are invoiced at cost. Any change in scope is agreed in writing and takes effect from the following month, never retroactively.

Timeline guarantee for registration

If the company is not entered into the register within 3 business days of filing the application due to the Provider's fault, the fee (excluding state fees) is refunded in full. The guarantee does not cover delays caused by the Registry Agency, incomplete or inaccurate information provided by the Client, refusal due to a company name already in use, or suspension of the register's electronic services.

Client obligations

Provide complete and accurate documents by the 5th of the month; notify us of changes to business activity; pay the subscription fee by the 10th of the month. If payment is more than 30 days overdue, the Provider may suspend processing after written notice.

Liability

The Provider is liable for damages resulting from inaccurate performance — fines and interest imposed due to its fault — up to the amount of fees paid over the preceding 12 months. The Provider is not liable for consequences arising from documents that were not provided or were inaccurate, or from decisions taken by the Client against written advice.

Term and termination

The subscription is open-ended, terminable by either party with one month's written notice. Upon termination, the Provider hands over the archive and files the declarations for the period already paid for.

Governing law

Bulgarian law applies. Disputes are settled by negotiation, and failing that, by the competent court in Sofia. Last revised: 3 September 2026.
