How remote incorporation works

    Consultation and quote

    You send us the intended company name, activity, address and shareholder details. We confirm the structure and send a fixed written quote.

  2. 2

    Documents

    We draft the articles, resolutions and declarations in Bulgarian with an English courtesy translation. You sign before a notary in your country (with apostille) or at a Bulgarian consulate, or remotely with a qualified e-signature.

  3. 3

    Capital and filing

    We open the capital account with a Bulgarian bank, deposit the share capital and file with the Commercial Register.

  4. 4

    Registration

    The company receives its UIC (EIK) within 1–2 business days. We then register for VAT if needed and start monthly accounting.

Bank account: what to expect

This is the hardest part of a non-resident setup, and no provider can guarantee it. Bulgarian banks run enhanced due diligence on foreign directors: expect a request for proof of address, source of funds, a business plan and, in most cases, one in-person visit by the director or a notarised power of attorney. Timelines range from one week to two months.

Ongoing accounting in English

Monthly bookkeeping from €150, including VAT returns, payroll for up to two persons, annual financial statements and their publication. Your dedicated accountant replies within two business hours by email or WhatsApp. Bank account opening for non-resident directors is arranged separately and depends on the bank's compliance review.

Frequently asked questions

Do I need to visit Bulgaria?

No. Documents can be notarised abroad with an apostille or signed at a Bulgarian consulate. A Bulgarian qualified e-signature can also be issued remotely via video identification.

Can a non-resident be the sole director?

Yes. There is no residency requirement for directors or shareholders of an EOOD/OOD.

How is dividend income taxed if I live abroad?

Bulgaria withholds 5%, reduced or credited under the double tax treaty with your country of residence. We provide the withholding certificate.

Is a bank account guaranteed?

No bank guarantees an account; compliance review depends on your residency and business. We prepare the file and accompany the application; fintech alternatives are available for many cases.
